Terms and Conditions for Vendors

1. Introduction

Welcome to Craftsy marketplace platform. These Terms and Conditions (“Terms”) govern your access to and use of our services as a vendor. By registering as a vendor on our platform, you agree to be bound by these Terms. Please read them carefully.

2. Definitions

  • “Platform” refers to our multivendor marketplace website and related services.
  • “Vendor” refers to any business entity or individual who registers to sell products or services through our Platform.
  • “Customer” refers to any user who purchases products or services from Vendors through our Platform.
  • “Commission” refers to the fee charged by the Platform for facilitating sales between Vendors and Customers.

3. Vendor Registration

  • Vendors must provide accurate, current, and complete information during registration.
  • Vendors must be legally able to sell their products or services in the jurisdictions where they operate.
  • The Platform reserves the right to approve or reject vendor applications at its sole discretion.
  • Vendors are responsible for maintaining the confidentiality of their account information and password.

4. Listing Requirements

  • All product or service listings must be accurate, complete, and comply with applicable laws and regulations.
  • Listings must include clear descriptions, accurate pricing, shipping information, and any relevant terms or conditions.
  • The Platform reserves the right to remove any listings that violate these Terms or are otherwise inappropriate.
  • Vendors must own the intellectual property rights to the content they post or have proper authorization to use it.

5. Prohibited Products and Services

Vendors are prohibited from selling:

  • Illegal products or services
  • Counterfeit or unauthorized goods
  • Weapons, explosives, or dangerous materials
  • Prescription medications or controlled substances
  • Pornographic or adult content
  • Products that infringe on intellectual property rights
  • Any other products or services that the Platform deems inappropriate

6. Pricing and Payments

  • Vendors are responsible for setting their own prices for products and services.
  • The Platform will charge a 2% commission on each successful sale as specified in the Vendor Agreement.
  • Payment processing will be handled by the Platform, and proceeds (minus commission and applicable fees) will be transferred to Vendors according to the payment schedule.
  • Vendors are responsible for any taxes associated with their sales.
  • -Minimum Payout Threshold: A payout will occur only when the net amount available for payout is at least EUR 10. If the amount is below EUR 10, the payout will be deferred to the next Payout Date until the threshold is met.
  • -The Seller is responsible for providing accurate payout details (PayPal account email or bank details) and updating them as necessary. The Platform is not responsible for misdirected payments caused by incorrect payout details supplied by the Seller.
  • The Platform may apply standard processing times for payouts (e.g., business days) and will provide a payout confirmation to the Seller.

7. Shipping and Fulfillment

  • Vendors are responsible for fulfilling orders in a timely manner as specified in their listings.
  • Vendors must provide accurate shipping information, including costs and estimated delivery times.
  • Vendors must update order status and provide tracking information when available.
  • Vendors are responsible for packaging products appropriately to prevent damage during shipping.

8. Returns and Refunds

  • Vendors must establish clear return and refund policies and display them in their shop profiles.
  • Vendors must honor their stated return and refund policies.
  • The Platform reserves the right to intervene in disputes between Vendors and Customers.
  • In cases where Vendors fail to resolve disputes appropriately, the Platform may issue refunds at its discretion and charge the Vendor accordingly.

9. Customer Service

  • Vendors must respond to customer inquiries and complaints within 48 hours.
  • Vendors must maintain a professional and courteous demeanor when interacting with Customers.

10. Vendor Ratings and Reviews

  • Customers may leave ratings and reviews for Vendors and their products or services.
  • Vendors may not manipulate or falsify ratings and reviews.
  • Vendors may respond to reviews professionally but may not harass or threaten Customers for negative reviews.
  • The Platform may remove reviews that violate its guidelines.

11. Intellectual Property

  • Vendors retain ownership of their intellectual property rights in their products, services, and content.
  • By listing products on the Platform, Vendors grant the Platform a non-exclusive license to use their content for marketing and promotional purposes.
  • Vendors warrant that they have the necessary rights to sell their products and services and that they do not infringe on third-party intellectual property rights.

12. Confidentiality

  • Vendors must maintain the confidentiality of Customer information and use it only for the purpose of fulfilling orders.
  • Vendors must comply with all applicable data protection and privacy laws.

13. Termination

  • Either party may terminate the Vendor Agreement with notice as specified in the Vendor Agreement.
  • The Platform reserves the right to suspend or terminate Vendor accounts for violations of these Terms, poor performance, or any other reason at its sole discretion.
  • Upon termination, Vendors must fulfill any outstanding orders and resolve any pending disputes.

14. Limitation of Liability

  • The Platform provides its services on an “as is” and “as available” basis without warranties of any kind.
  • The Platform shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • The Platform’s total liability shall not exceed the amount of commissions paid by the Vendor in the twelve months preceding the claim.

15. Indemnification

Vendors agree to indemnify, defend, and hold harmless the Platform and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Violation of these Terms
  • Products or services sold by the Vendor
  • Infringement of intellectual property rights
  • Violation of any laws or regulations

16. Modifications to Terms

  • The Platform reserves the right to modify these Terms at any time.
  • Vendors will be notified of significant changes to the Terms.
  • Continued use of the Platform after changes to the Terms constitutes acceptance of the modified Terms.

17. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of Republic of Ireland.
  • Any disputes arising from these Terms shall be resolved through arbitration in accordance with the rules of [Arbitration Association] before resorting to litigation.

18. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, strikes, or other labor disputes.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with the Vendor Agreement and any other agreements referenced herein, constitute the entire agreement between the Vendor and the Platform regarding the subject matter hereof.

By registering as a Vendor on our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
